Vendor Content

In addition to any other requirements and obligations under any agreement between Vendor and Best Buy, Vendor is responsible for all product information relating to the specifications, marketing, sales and servicing of products, including without limitation, product specifications, facts, claims, advertisements, images and other textual, graphical, multimedia or other content regarding the products (“Vendor Content”) made available to Best Buy from time to time, directly or indirectly, including, without limitation, by Vendor or by third parties making Vendor Content available.

Without limiting the generality of the foregoing, Vendor represents, warrants and covenants that all such Vendor Content: (i) is accurate; (ii) is not false or misleading; and (iii) does not infringe, misappropriate or injure a third party’s intellectual property or other proprietary rights.

Vendor grants to Best Buy a license to use, exhibit, excerpt, reformat, modify, reproduce, publish, publicly perform and transmit via the Internet and otherwise use such Vendor Content for the purpose of advertising and promoting the products. Vendor is responsible for reviewing and maintaining the accuracy of the Vendor Content and informing Best Buy of any required changes.
