Conflict of Interest Policy

Effective Date: 03/06/2025

Summary:
When an employee or anyone representing Best Buy acts or appears to act in their personal interest or that of a third party rather than the best interest of Best Buy, it causes others to lose trust in us. Private, personal interests may cloud our ability to make sound, objective decisions in the best interests of the Company. Best Buy employees must avoid actual and perceived conflicts of interest.

Gifts and Vendor Relations Policy

Effective Date: 11/06/2024

Purpose:
Best Buy's reputation and its ability to succeed in the marketplace hinge on the quality and integrity of its relationships with vendors. Best Buy depends on its vendors to help provide customers with the products and services that customers need at the prices customers want. To ensure success, employees must avoid business practices and activities that may create or have the appearance of impropriety or a conflict of interest with vendors or potentially lead to undue influence by a vendor in Best Buy's purchasing decisions. This policy, therefore, prohibits vendor gifts and only allows vendor-funded entertainment and meals under limited circumstances and with approval as required under this policy. Similarly, vendor-paid travel, while permissible under certain circumstances as a cost-savings measure, must be reviewed and pre-approved to ensure compliance with the requirements and the spirit of this policy.

Supplier Code of Conduct

Effective Date: 01/01/2024

The Supplier Code of Conduct defines Best Buy's expectations for our suppliers relating to Health and Safety, Labor, Environment, Ethics, and Management Systems. The Code of Conduct is an entire supply chain initiative, meaning that Best Buy expects our tier 1 suppliers to cascade this information/expectations onto their suppliers.

As a member of the Responsible Business Alliance® (RBA), formerly known as the Electronic Industry Citizenship Coalition® (EICC® ), Best Buy has adopted the RBA Code of Conduct, which establishes standards to ensure that working conditions in the electronics industry or industries in which electronics is a key component and its supply chains are safe, that workers are treated with respect and dignity, and that business operations are environmentally responsible and conducted ethically.
